๐ By creating a SmartlyServe account you agree to these terms. Please read them carefully. The key points: you own your data, we provide the platform, you pay the fees, and either party can end the agreement with notice.
1. Definitions
"Service" means the SmartlyServe bakery management platform and all associated features. "Customer", "you", "your" means the business or individual who signs up. "We", "us", "SmartlyServe" means SmartlyServe Ltd. "User" means any person who accesses the Service on your account.
2. Account Registration
- You must be 18+ and have authority to enter this agreement on behalf of your business
- You are responsible for maintaining the security of your account credentials
- You must provide accurate information and keep it updated
- One bakery / business entity per account (multi-location is supported within one account)
- You may not share your account with competitors or resell access
3. Acceptable Use
You may use SmartlyServe for lawful bakery and food business management purposes. You may not:
- Use the Service for illegal activities or to violate any applicable law
- Attempt to gain unauthorised access to other accounts or our systems
- Upload malware, viruses or harmful code
- Reverse engineer, decompile or copy the platform
- Use automated scraping or data harvesting tools against our systems
- Impersonate SmartlyServe or mislead others about your affiliation with us
4. Subscription, Fees & Payment
4.1 Plans
SmartlyServe is available on monthly or annual subscription plans. Plan details, features and current pricing are at smartlyserve.com/#pricing.
4.2 Billing
- Subscriptions are billed in advance at the start of each billing period
- Annual plans are billed upfront for 12 months
- Prices are in GBP (UK), USD (US), or local currency where applicable, excluding applicable taxes
- Failed payments give 14 days grace period before account suspension
4.3 Price Changes
We will give 30 days notice of any price increase. Continued use after the effective date constitutes acceptance.
4.4 Free Trial
New accounts receive a 14-day free trial with full Professional features. No credit card required. At trial end your account continues on the Starter plan or you can choose a paid plan.
5. Your Data & Intellectual Property
- Your data is yours. You own all data you upload or create in SmartlyServe
- You grant us a limited licence to store, process and display your data solely to provide the Service
- We never sell your data or use it to train AI models without explicit consent
- You can export all your data at any time from Settings โ Import/Export
- SmartlyServe owns all intellectual property in the platform itself (code, design, trademarks)
6. Uptime & Service Availability
- We target 99.9% uptime on Professional and Enterprise plans
- Starter plan: best-effort availability
- Scheduled maintenance windows: notified 48 hours in advance
- We are not liable for outages caused by third-party services, your internet connection, or force majeure events
7. Cancellation & Termination
7.1 Cancellation by You
- Cancel anytime from Settings โ Subscription or by emailing us
- Monthly: cancellation effective at end of current billing month
- Annual: cancellation effective at end of annual term (see Refund Policy for early termination)
- After cancellation: 90 days data retention, then permanent deletion
7.2 Termination by Us
We may suspend or terminate accounts that violate these Terms, are involved in fraud, or after extended non-payment (30+ days overdue). We'll provide notice where practicable except in cases of serious violations.
8. Limitation of Liability
To the maximum extent permitted by law: the Service is provided "as is". We are not liable for: indirect, incidental or consequential damages; loss of profits or revenue; loss of data; or any damages exceeding the fees you paid us in the 3 months preceding the claim.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
9. Indemnification
You agree to indemnify SmartlyServe against claims arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
10. Governing Law
These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to mandatory consumer protection laws in your local jurisdiction.
11. Changes to Terms
We'll notify you of material changes with at least 30 days notice by email and in-app notice. Continued use after the effective date constitutes acceptance of the updated Terms.
